By accessing or using Supercal (the "Service"), you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms, please do not use the Service. If you have questions regarding Supercal's Terms of Service, don't hesitate to contact us.

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Supercal, Inc. (“Supercal,” “we,” “our,” or “us”), including our website, scheduling tools, AI-powered assistants, meeting productivity features, and integrations with third-party platforms (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you may not use the Services.

We may update these Terms from time to time to reflect changes in our Services, our practices, or applicable laws. When we make significant changes, we will provide notice to you by email, in-app message, or through our website. Continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.

2. Eligibility and Accounts

You must be at least sixteen (16) years old, or the minimum age of legal capacity required in your jurisdiction, to create an account and use the Services. By registering, you represent and warrant that you meet these eligibility requirements.

When you create an account, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you believe your account has been compromised, you must notify us promptly.

Supercal reserves the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, misused the Services, or engaged in conduct that may harm Supercal, our users, or others.

3. Use of Services

Supercal grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms.

You agree to use the Services only as intended and in compliance with applicable laws. You may not use the Services to engage in unlawful, abusive, or fraudulent activities; to attempt to gain unauthorized access to any systems or networks; to copy, modify, or reverse engineer our software; or to interfere with the security, integrity, or performance of the Services.

You are solely responsible for the content you submit or share through the Services (“User Content”). You represent and warrant that you have all necessary rights, licenses, and permissions to share such User Content and to grant the rights described in these Terms. You retain ownership of your User Content, but you grant Supercal a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit your User Content as necessary to operate, maintain, improve, and provide the Services to you and other authorized users. This license also permits Supercal to make technical modifications (such as formatting, compression, or caching) required to display or transmit the content properly.

4. Integrations and Third-Party Services

Supercal may integrate with third-party services such as Google Calendar, Microsoft Outlook, and other productivity platforms. When you enable these integrations, you authorize Supercal to access and use the data made available through those services in accordance with our Privacy Policy.

Your use of third-party services is governed by their own terms and policies, which are separate from these Terms. Supercal is not responsible for the availability, accuracy, or performance of third-party services, nor for any damages or losses arising from your use of them. It is your responsibility to review and comply with the terms and policies of those third parties.

By enabling an integration (for example, with Google Calendar, Microsoft Outlook, or other third-party tools), you authorize Supercal to access, copy, store, and reformat information from those services as needed to deliver functionality you request. You also grant Supercal a limited license to use that data solely to operate and improve the integration and related Services. Supercal does not claim ownership of data retrieved from third-party services and will handle such data in accordance with our Privacy Policy.

5. AI and Transcription Features

Certain Services use artificial intelligence, including large language models, to assist with scheduling, generating summaries, or analyzing meeting content. By using these features, you grant Supercal and its AI service providers a limited license to process, analyze, and transform relevant portions of your data solely for the purpose of providing and improving the requested functionality. Neither Supercal nor its AI providers are authorized to use your data for unrelated purposes, model training beyond the stated scope, or marketing.

If you enable transcription or recording features, you are responsible for ensuring that all participants in a meeting have provided any legally required consent to recording or transcription. Supercal disclaims responsibility for obtaining such consent on your behalf. You acknowledge that AI outputs, including summaries, action items, or suggestions, may not be accurate, complete, or error-free, and should not be relied upon as a substitute for professional judgment.

6. Payment and Subscription Terms

Some parts of the Services may be offered free of charge, while others require payment of subscription fees. By purchasing a paid plan, you agree to pay the fees associated with that plan in accordance with the pricing and billing terms presented to you at the time of purchase. Unless otherwise stated, all fees are billed in advance and are non-refundable.

Subscriptions will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time, and the cancellation will take effect at the end of your current billing period. We reserve the right to change our pricing and plans, but we will provide advance notice of any material changes.

You are responsible for all applicable taxes, duties, and government charges associated with your subscription. If payment cannot be processed due to insufficient funds, expired payment methods, or other issues, we may suspend or terminate your access to the Services until payment is received.

7. Intellectual Property

All rights, title, and interest in and to the Services, including the software, underlying technology, user interface, design, logos, trademarks, and all related intellectual property, are and will remain the exclusive property of Supercal and its licensors. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Services.

Supercal grants you a limited, revocable license to use the Services solely for your personal or internal business purposes. This license does not transfer any ownership rights to you. Any unauthorized use of Supercal’s intellectual property is strictly prohibited.

You retain ownership of your User Content, and Supercal does not claim any ownership rights in it. However, to enable Supercal to provide the Services, you grant Supercal and its affiliates a non-exclusive, worldwide, royalty-free, transferable (to service providers and subprocessors) license to host, store, reproduce, modify, reformat, translate, analyze, display, and distribute your User Content as reasonably necessary to provide, maintain, secure, back up, and improve the Services. This license includes the right to create aggregated or de-identified data derived from your use of the Services, which Supercal may use for analytics, performance optimization, and product improvement. The license terminates when your User Content is deleted from our systems, subject to reasonable archival or backup retention required for legal, regulatory, or operational purposes.

8. Termination and Suspension

You may stop using the Services at any time by closing your account. If you cancel a subscription, your access to paid features will remain active until the end of your billing cycle, after which access will revert to the free plan, if available.

Supercal may suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms, misused the Services, failed to pay required fees, or engaged in conduct that may harm Supercal, our users, or others. We may also suspend or terminate the Services altogether for operational, legal, or security reasons.

Upon termination of your account, your right to use the Services will immediately cease. Certain provisions of these Terms, including those relating to intellectual property, disclaimers, limitations of liability, and indemnification, will survive termination. Data associated with your account will be retained or deleted in accordance with our Privacy Policy.

9. Disclaimers and Limitations of Liability

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. Supercal does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. To the fullest extent permitted by law, Supercal disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Supercal will not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services. Our total liability for any claims under these Terms is limited to the amount you have paid to Supercal for the Services during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, gross negligence, or intentional misconduct.

Upon termination or deletion of your account, Supercal will cease active processing of your User Content but may retain copies in backups or archives for a limited period consistent with our Privacy Policy. During that period, Supercal’s license to your User Content continues solely for such backup, audit, or legal-compliance purposes.

10. Indemnification

You agree to defend, indemnify, and hold harmless Supercal, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement or alleged infringement of any intellectual property or other rights of any third party. This includes any claims alleging that your User Content infringes or misappropriates the intellectual-property or privacy rights of a third party.

11. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will first be attempted to be resolved through good-faith negotiations between you and Supercal. If the dispute cannot be resolved informally, it will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English, and held in a location mutually agreed upon.

You and Supercal agree that any arbitration will be conducted on an individual basis and not in a class, consolidated, or representative action. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of rights.

12. Changes to the Terms

We may update or modify these Terms from time to time to reflect changes in our Services, our practices, or legal requirements. If we make material changes, we will provide notice by email, in-app notification, or posting on our website before the changes take effect. The updated Terms will become effective on the date specified in the notice. By continuing to use the Services after the updated Terms take effect, you agree to be bound by the revised Terms.

9. Disclaimers and Limitations of Liability

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. Supercal does not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. To the fullest extent permitted by law, Supercal disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, Supercal will not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services. Our total liability for any claims under these Terms is limited to the amount you have paid to Supercal for the Services during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for fraud, gross negligence, or intentional misconduct.

Upon termination or deletion of your account, Supercal will cease active processing of your User Content but may retain copies in backups or archives for a limited period consistent with our Privacy Policy. During that period, Supercal’s license to your User Content continues solely for such backup, audit, or legal-compliance purposes.

10. Indemnification

You agree to defend, indemnify, and hold harmless Supercal, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement or alleged infringement of any intellectual property or other rights of any third party. This includes any claims alleging that your User Content infringes or misappropriates the intellectual-property or privacy rights of a third party.

11. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will first be attempted to be resolved through good-faith negotiations between you and Supercal. If the dispute cannot be resolved informally, it will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English, and held in a location mutually agreed upon.

You and Supercal agree that any arbitration will be conducted on an individual basis and not in a class, consolidated, or representative action. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of rights.

12. Changes to the Terms

We may update or modify these Terms from time to time to reflect changes in our Services, our practices, or legal requirements. If we make material changes, we will provide notice by email, in-app notification, or posting on our website before the changes take effect. The updated Terms will become effective on the date specified in the notice. By continuing to use the Services after the updated Terms take effect, you agree to be bound by the revised Terms.
